In short: an LLP in Bengaluru is registered online with the Ministry of Corporate Affairs (MCA) in two forms. RUN-LLP reserves the name, for a fee of ₹200. FiLLiP incorporates the LLP, for a fee of ₹500 to ₹25,000 depending on the partners' total contribution. The LLP's PAN and TAN, and Designated Partner Identification Numbers (DPINs) for the partners, are applied for in FiLLiP itself. After registration, the LLP Agreement is filed in Form 3 within 30 days, and two annual filings follow every year: Form 11 by 30 May and Form 8 by 30 October.
Who can form an LLP. An LLP needs at least two partners, and at least two designated partners who are individuals. At least one designated partner must be resident in India. Since 1 April 2022, that means having stayed in India for at least 120 days during the financial year (section 7(1) of the LLP Act, 2008, as amended by the LLP (Amendment) Act, 2021).
Step 1 — Digital signature. Each proposed designated partner needs a valid digital signature certificate (DSC), because the incorporation form is signed digitally.
Step 2 — Reserve the name (RUN-LLP, ₹200). The name is reserved through the RUN-LLP web form on the MCA portal. Up to two proposed names can be given. If the Registrar marks the application for resubmission, the defects must be corrected within 15 days. An approved name stays reserved for three months from the date of approval (rule 18 of the LLP Rules, 2009). If the LLP is not incorporated within that time, the name lapses. Alternatively, the name can be reserved within FiLLiP itself instead of filing RUN-LLP first.
Step 3 — Incorporate (FiLLiP). The LLP is incorporated by filing Form FiLLiP. The same form is used to apply for DPINs for up to five designated partners who do not already hold a DIN or DPIN, and for the LLP's PAN and TAN, with no separate fee for these. Each designated partner's consent is given in Form 9, which is attached to FiLLiP. The certificate of incorporation is issued in Form 16 and shows the LLP's PAN and TAN. The registration fee depends on the partners' total contribution (Annexure A to the LLP Rules, 2009, from 1 April 2022):
- Contribution up to ₹1 lakh: ₹500
- Above ₹1 lakh, up to ₹5 lakh: ₹2,000
- Above ₹5 lakh, up to ₹10 lakh: ₹4,000
- Above ₹10 lakh, up to ₹25 lakh: ₹5,000
- Above ₹25 lakh, up to ₹1 crore: ₹10,000
- Above ₹1 crore: ₹25,000
Documents. The FiLLiP instruction kit sets out the attachments. The usual set is:
- For each partner: PAN (for Indian nationals), and proof of identity and of residential address
- For the registered office: proof of address, such as a recent utility bill, and a no-objection certificate from the owner if a partner does not own the premises
- The subscription sheet signed by the partners, and the Form 9 consent of each designated partner
- For a partner that is a company or other body corporate: the resolution nominating its representative, and its certificate of incorporation
- For a foreign national partner: passport and address proof, attested as the instruction kit requires
Step 4 — LLP Agreement (Form 3, within 30 days). The LLP Agreement sets out the partners' contributions, profit sharing, rights and duties, and the terms for admission and exit. It is stamped at the rate in the Karnataka Stamp Act, 1957 for the contribution, and filed in Form 3 within 30 days of incorporation (rule 21). Any later change to the agreement is also filed in Form 3 within 30 days of the change. If no agreement is filed, the default terms in the First Schedule to the LLP Act, 2008 apply. Under them, for example, the partners share profits equally, which may not be what they intended.
Late filing. Since 1 April 2022, a late LLP filing attracts an additional fee that is a multiple of the normal filing fee, not a flat amount per day (Annexure A, paragraph 8). For a small LLP, the multiple rises from one times the normal fee for a delay of up to 15 days to 15 times for a delay of 180 to 360 days. For other LLPs it rises to 30 times over the same periods, and beyond 360 days it is higher again. There is no cap on this additional fee. Separately, sections 34 and 35 of the LLP Act provide a penalty of ₹100 per day for not filing Form 8 or Form 11, up to ₹1 lakh for the LLP and ₹50,000 for each designated partner.
After incorporation. Every LLP makes two annual filings, whatever its turnover:
- Form 11 (annual return): within 60 days of the end of the financial year, which is 30 May for a 31 March year-end.
- Form 8 (statement of account and solvency): within 30 days from the end of six months of the financial year, which is 30 October (rule 24).
The government fee for each of these two forms is between ₹50 and ₹600, depending on contribution.
Rule 24(8) says an LLP's accounts need not be audited if its turnover in the financial year does not exceed ₹40 lakh, or its contribution does not exceed ₹25 lakh. The MCA's Form 8 instruction kit reads this as requiring an audit where either limit is exceeded.
Where turnover exceeds ₹5 crore or contribution exceeds ₹50 lakh, the annual return in Form 11 must carry a certificate from a Company Secretary in practice (rule 25(2)).
Fees and time limits in this note are as on 23 October 2026. Check the current MCA instruction kit before filing, as fees and form versions change.
