LLP Registration in Bengaluru

RUN-LLP to the filed LLP Agreement.

Overview

A Limited Liability Partnership is incorporated under the Limited Liability Partnership Act, 2008 in two steps on the MCA V3 portal: the name is reserved through RUN-LLP, and the LLP is then incorporated through FiLLiP, which also carries the application for the LLP's PAN and TAN and for DPINs for designated partners who do not already hold one.

An LLP needs at least two partners, of whom at least two must be designated partners who are individuals, and at least one designated partner must be resident in India. A company or another LLP can be a partner through a nominee.

The LLP Agreement is the document that actually governs the partners' rights, capital contribution, profit sharing, admission and exit. It must be filed in Form 3 within 30 days of incorporation, and late filing attracts an additional fee for every day of delay. The firm drafts the agreement around how the partners actually intend to run the business, rather than leaving a template in place.
