MCA late fee calculator for ROC and LLP forms

Work out the normal fee and the additional fee the MCA charges for a late ROC or LLP filing. Pick the form, enter the due date and the filing date, and the calculator applies the Companies (Registration Offices and Fees) Rules, 2014 or Annexure A of the LLP Rules, 2009, as on 3 November 2026.

Due: 30 days from the AGM (OPC: 180 days from the end of the financial year)

For an OPC, AOC-4 is due 180 days from the end of the financial year; enter the due date directly.

How the fee is worked out

  • AOC-4, MGT-7 and MGT-7A: ₹100 for each day of delay, with no upper limit. For FY 2025-26, General Circular 05/2026 waives it for AOC-4 filed by 31 December 2026 and MGT-7/MGT-7A filed by 31 January 2027; after those dates it runs from the original due date.
  • Most other company forms: a multiple of the normal fee: 2 times for a delay up to 30 days, 4 times up to 60, 6 times up to 90, 10 times up to 180 and 12 times beyond. ADT-1 starts at 1 time for a delay up to 15 days. A repeat late PAS-3 within 365 days attracts 3 to 18 times.
  • SH-7 for an increase: 2.5% a month on the fee for the increase for a delay up to 6 months, 3% a month beyond.
  • CHG-1: 3 times (small company or OPC) or 6 times the normal fee from day 31 to day 60 after creation; from day 61 to 120, plus 0.025% (up to ₹1 lakh) or 0.05% (up to ₹5 lakh) of the amount secured. After 120 days the delay must be condoned under section 87.
  • LLP Forms 8 and 11: 1 to 15 times the normal fee for a small LLP and 1 to 30 times for others, rising with the delay; beyond 360 days, plus ₹10 or ₹20 a day.
