Private Limited Company Incorporation in Bengaluru

Name reservation to first board meeting, filed through SPICe+.

Overview

A private limited company is incorporated with the Registrar of Companies through the integrated SPICe+ web form on the MCA V3 portal. Part A reserves the name; Part B carries the incorporation itself, together with the electronic Memorandum and Articles of Association (INC-33 and INC-34) and AGILE-PRO-S, through which the company's PAN, TAN, EPFO and ESIC registrations and bank account are applied for. GSTIN and Karnataka professional tax registration can be applied for in the same filing where required.

The company needs at least two directors and two shareholders (the same individuals may be both), and at least one director must have stayed in India for not less than 182 days in the previous calendar year, as section 149(3) of the Companies Act, 2013 requires. Every subscriber and director needs a Digital Signature Certificate, and directors without a DIN are allotted one through the form.

The work does not end at the Certificate of Incorporation. The first board meeting must be held within 30 days, the first auditor appointed by the board within 30 days, share certificates issued within two months, and the declaration of commencement of business (INC-20A) filed within 180 days once subscribers have paid for their shares. The firm sets this calendar up at incorporation so that none of these windows is missed.

For each director and subscriber: PAN, an identity proof such as Aadhaar or passport, a recent address proof (bank statement or utility bill not older than two months), a photograph, and mobile number and email for the DSC. For the registered office: a recent utility bill and a no-objection letter from the owner, with a rent or lease agreement where the premises are rented. Foreign nationals provide a passport and address proof notarised or apostilled as applicable.

A private limited company needs at least two directors and two members. A single individual can incorporate a One Person Company instead, which is a separate structure with its own conditions.

Yes. The office must be able to receive communications, and the address is supported by a utility bill and the owner's no-objection letter. A co-working address works with the operator's NOC and agreement.

INC-20A is the declaration that every subscriber has paid for the shares they subscribed. A company with share capital must file it within 180 days of incorporation, and cannot commence business or exercise borrowing powers until it is filed.

A private company is not required to appoint a whole-time Company Secretary unless its paid-up share capital is ₹10 crore or more, but it still has an annual compliance calendar under the Companies Act. Many founders engage a Practising Company Secretary to run that calendar from day one.
