Form INC-24: change of company name
In short
A company changes its name by special resolution (section 13). The new name is reserved first, the resolution is filed in MGT-14 within 30 days, and the change is approved by the Registrar on an application in Form INC-24, after which a fresh certificate of incorporation is issued.
Steps, in order
- Check the proposed name and reserve it through RUN on the MCA portal.
- Board meeting to approve the proposal and call a general meeting.
- Special resolution of the shareholders to change the name and alter the memorandum and articles.
- File the special resolution in MGT-14 within 30 days.
- File INC-24 for approval of the change, with the resolution and the altered memorandum and articles.
- The Registrar issues a fresh certificate of incorporation in the new name.
When a company cannot change its name
A company that has not filed its annual returns or financial statements, or has defaulted on repaying deposits or interest, cannot change its name until the default is made good.
After the change
Update the PAN, GST, bank accounts, licences, letterheads, seal and website, and display the new name at the registered office and on all documents.
